Set-off will not be binding in respect of the indisputable rights of third parties. Thus if an object owed to a certain creditor is seized legally in favour of a third party, and the debtor becomes a creditor of his original creditor, the former cannot, under a plea of set-off, refuse to deliver the seized goods.
